Non-Disclosure Agreement (NDA)
This NDA protects confidential information shared within Collabs. It applies to all leaders, developers, partners, and Collabers who access sensitive data.
1Definitions & Scope
- Confidential Information: Any non-public data, including student IDs, project code, session recordings, feedback surveys, and internal reports.
- Intellectual Property: Includes platform code, logos, and student projects.
- This agreement is valid for 2 years post-termination or exit.
2Obligations of the Receiving Party
- Keep all confidential information strictly private and use it only for Collabs purposes.
- Do not disclose information to third parties without written approval, and secure all information on personal devices.
- Notify the Disclosing Party of any breach within 12 hours.
- Do not copy, reproduce, distribute, or use data for personal gain or external projects.
3Exclusions from Confidentiality
- Information already public before disclosure, or independently developed by the Receiving Party.
- Information received from a third party without an NDA, or information required by law to disclose.
- General knowledge or skills gained (not specific data), and anonymized data for reports.
4Enforcement & Termination
- A breach leads to the immediate termination of your role. There is no liability waiver for intentional breaches.
- Upon termination, you must return all materials, destroy digital copies, and confirm destruction in writing.
- Confidentiality obligations survive and last for 2 years post-termination.
